CORPORATE SOCIAL RESPONSIBILITY (CSR) POLICY

In Accordance With Section 135 Of The Companies Act, 2013 And The Companies (Corporate Social Responsibility Policy) Rules, 2014 (“The Act”)

1. POLICY INTENT

Pioneer Polyleathers Private Limited is a values-based business organisation which believes that Corporate Social Responsibility (“CSR”) is an investment in the social asset of the country and an integral part of the ethos of the Company. This CSR Policy intends to:

  • Highlight the Company’s commitment to social welfare
  • Outline the Company’s core CSR commitments
  • Create robust processes and replicable models for delivery of social sector services

2. CSR VISION

PPL’s CSR and welfare activities will center on the following areas:

  • Enable people to lead healthy and enriched lives by addressing the primary healthcare burdens of Accessibility, Affordability and Awareness and by promoting education related to field of healthcare;
  • Promoting education including special education, employment enhancing vocation skills especially among children and livelihood enhancement projects;
  • Eradicating hunger, poverty and malnutrition, promoting gender equality and empowering women.
  • Providing relief to the victims of Natural Calamity in India.

3. CSR COMMITMENTS

  • Promote people’s access to quality and affordable healthcare
  • Combat preventive diseases through health awareness
  • Promote education through employment enhancing vocational skills related to the field of healthcare
  • Encourage employees to volunteer in CSR activities
  • Any other activity approved by the CSR Committee and the Board

4. CSR ACTIVITIES

4.1 Access, affordability and awareness regarding Healthcare and Promoting Education at different levels

  • Providing medical treatment to those who are economically backward and cannot afford their treatment, focused on the treatment of “cancer patients”.
  • Infrastructure and facility upgradation of healthcare facilities
  • Subsidies for life saving/life altering treatments
  • Product/ MedicineDonations
  • Awareness building programmes on communicable diseases
  • Screening and awareness for major non-communicable diseases
  • Employment enhancing vocational skills related to the field of healthcare

PPL’s primary supportis supposed to be given to the abovementioned CSR activities but its overall objective is covered under the activities mentioned under Clause 2, which are permitted under the Companies Act, 2013 and rules made thereunder. However, if required, it may also undertake CSR activities through any other entity / organization in compliance with the provisions of applicable laws.

5. CSR COMMITTEE

The Board of Directors of the Company shall constitute / re-constitute the CSR Committee from time to time in compliance with statutory requirements. The Committee shall comprise of three Directors, including at least one independent Director. Role of the CSR Committee:

  • Formulate and recommend the adoption of CSR Policy to the Board of Directors
  • Provide strategic direction for CSR
  • Recommend the annual expenditure on CSR activities to the Board
  • Monitor the implementation of the CSR Policy

6. Selection and Implementation of CSR Activities and Projects

The Company will implement its CSR projects through a registered trust or society having track record of three years in undertaking similar programs or projects as permitted under the Companies Act, 2013 and rules made thereunder.

The CSR Committee shall make proposals andsuch proposals must inter-alia contain details of projects / programs to be undertaken, proposed amount, timelines and a confirmation that such projects / programs are eligible under the Companies Act, 2013 and rules made thereunder.

The CSR Committee will evaluate the projects / programs and may, approve certain projects / programs for implementation. While approving projects / programs, the Committee shall ensure that those are covered under the ambit of activities listed in Clause 2 above.

The CSR Committee may also decide to contribute towards the Corpus Fund, as permitted under the law.

7. CSR Budget

The Board shall approve overall limits for CSR Activities to be undertaken by the Company. Within the overall limits approved by the Board, the CSR Committee shall approve individual projects / programs including contribution towards the Corpus Fund. Any surplus arising out of the CSR projects, programs or activities will not form part of the business profit of PPL.

8. Monitoring and Disclosure

The CSR Committee shall endeavor to:

8.1 Devise a monitoring mechanism to ensure that the CSR projects / programs are undertaken effectively in accordance with the approval granted and are fully in compliance with applicable laws, rules and regulations. Monitoring of CSR activities could be done through:

  • Periodic third party assessment of key projects
  • Impact assessment with key indicators in our areas of operations
  • Regular review by CSR committee
  • Ensure that appropriate disclosures are made to the shareholders in the company’s annual reports.

The Contents of the CSR Policy shall be disclosed in the Board’s report and displayed at the PPL’s Website.

9. Location

All CSR projects / programs under this policy shall be undertaken in India, preferably in Rudrapur, Distt. Udham Singh Nagar where its plant is located. The CSR Committee shall decide on locations for implementation of the CSR projects / programs.

10. CSR Reporting & Communication

CSR Committee will prepare and review CSR Progress Reports. Progress on CSR will also be reported in the Company’s Annual Report.

CSR reporting will be done as per the Rules mentioned under the Law.

11. Validity of CSR Policy

This policy is effective from April 1, 2014 and may be amended by the Board as required from time to time.
